Terms and Conditions
Registration and Reservation of Territories
1. This form, signed together with payment to UK Law Online Ltd of the Reservation Fee constitutes an application by the Practice to Register with, and Reserve the option to participate in, the UK Law Online project being managed by UK Law Online Ltd.
2. The Reservation fee for participation in UK Law Online is £800+VAT.
3. Acceptance of a Practice’s Reservation application will be subject to confirmation by UK Law Online Ltd. UK Law Online Ltd’s decision in relation to any such application is final.
4. Acceptance of the Practice’s Reservation will confer on the Practice the right to participate in the UK Law Online project being managed by UK Law Online Ltd.
5. Acceptance of the Practice’s Registration will Reserve for the Practice the exclusive rights to one of the 230 territories in England and Wales. Territories are defined by Postcode District and are designed to comprise approximately 1/230th of the households in England and Wales. The area covered by the Territory will be agreed with the Practice at the time of Reservation – subject to the above constraint - and may, in certain circumstances, comprise a joining of up to three Territories to be shared by a corresponding number of Practices.
6. A Practice may Reserve more than one Territory, subject to the payment of one Reservation Fee per Territory.
7. Until a minimum of 100 Territories have been reserved, registered Practices will not be required to make any further payments to UK Law Online Ltd.
De-Registration
8. The Practice may withdraw its Registration at any time prior to the Formal Launch of UK Law Online.
9. If the Practice withdraws its Registration with UK Law Online Ltd it shall receive a refund of 50% (fifty percent) of its Reservation Fee once another Practice has paid its fee to Reserve the Territory in question.
10. If UK Law Online Ltd should cancel a Practice’s Registration for whatever reason prior to the Formal Launch, the Practice will receive a full refund of its Reservation Fee.
11. Once UK Law Online has been Formally Launched, any Practice will be deemed to have withdrawn its Registration if the first Monthly Subscription payment has not been lodged with UK Law Online Ltd within 28 days of the due date.
Participation
12. The UK Law Online project will be Formally Launched once a minimum of 100 (one hundred) Territories have been Reserved.
13. To become a Participating Practice in the UK Law Online project a Practice must:-
• Have Registered with UK Law Online;
• Have adopted Direct Law;
• Commence paying a monthly subscription of £150+VAT.
14. Practices joining the Project after the time of the Formal Launch will be required to pay the Reservation Fee and Monthly Subscriptions.
Marketing
15. Each Participating Practice will contribute one equal share (per Reserved Territory) to a marketing budget which will be used in national campaigns to promote the brand and to drive new clients to the UK Law Online website and to Participating Practices, as well as direct negotiation with institutions and companies wishing to offer their own branded legal services via UK Law Online.
16. Marketing plans, budgets and strategies will be submitted to all Participating Practices for comment, approval and sign off.
17. The first marketing plan, budget and strategy will be delivered to Participating Practices within three months of the Formal Launch of the project.
18. Thereafter the marketing plan, budget and strategy will be delivered each year at UK Law Online’s Annual National Conference.
Cancellation
19. After the Formal Launch of the Project, a Practice may cancel its Participation by giving three month’s notice to UK Law Online Ltd.
20. After the Formal Launch of the Project, UK Law Online may cancel a Practice’s Participation in the Project in the following circumstances:
• If the Practice ceases its subscription to Direct Law.
• If the Practice ceases its subscription to UK Law Online.
• If the Practice consistently fails to meet any service standards to which it has agreed to adhere.
• If, in the opinion of UK Law Online Ltd, the quality of service provided by a Participating Practice to clients referred by The UK Law Online does not comply with the Project’s aims of providing legal services of high quality and value.
• If complaints are received about a Participating Practice and, upon investigation, are found to be substantiated.
• If any invoice to the Participating Practice from UK Law Online Ltd remains unpaid after 28 days from its due date.
21. No refunds will be payable under any circumstances to withdrawing Participating Practices.
